RECITALS & PARTIES
This Master Services Agreement (\"Agreement\") is
entered into as of January 1, 2026, by and between
Acme Corp, a Delaware corporation (\"Client\"), and
TechServ LLC, an Oregon LLC (\"Provider\").
SECTION 3 — TERM & FEES
3.1 Term: 24 months from the Effective Date
3.2 Monthly Fee: $10,000 ($240,000 total value)
3.3 Payment Terms: Net 30 from invoice date
3.4 Auto-Renewal: Yes, successive 12-month terms
SECTION 8 — TERMINATION / LIABILITY
8.1 Either party may terminate with 30 days written notice
8.2 Non-compete: 12 months post-termination
8.3 Limitation of Liability: $500,000 aggregate cap
8.4 Governing Law: State of Delaware
